Terms of Service

These Terms of Service ("Terms") govern your use of Shout Out!, available at https://shoutout.party/.

By using Shout Out!, submitting a Shout, or making a payment, you agree to these Terms and our Rules and Privacy Policy.

1. About Shout Out!

Shout Out! is a public paid-ranking service.

Users can post short public messages ("Shouts") and make payments associated with those Shouts.

Leaderboard position is based on each Shout's cumulative qualifying payment amount. Higher total payments rank higher.

Rankings are paid placements. They are not endorsements, recommendations, popularity scores, or factual verification by Shout Out!.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use paid features of the Service.

You may not use the Service where doing so would violate applicable law.

3. Your Shouts

You are responsible for the content you submit.

You must have the right to publish your Shout, and it must comply with applicable law and our Rules.

You retain ownership of your original content.

By submitting a Shout, you grant Shout Out! a non-exclusive, worldwide, royalty-free license to host, display, reproduce, format, archive, and promote the Shout as reasonably necessary to operate and promote the Service.

Shouts are public and may be indexed, copied, quoted, screenshotted, or shared by others.

Do not include confidential, private, or sensitive personal information in a Shout.

4. Ranking

Each Shout has a Total Paid Amount.

Higher Total Paid Amounts rank above lower amounts.

Anyone may make additional payments to an existing Shout. Successful additional payments are added to that Shout's Total Paid Amount.

If two Shouts have the same Total Paid Amount, the Shout that reached that amount first ranks higher.

Failed, fraudulent, refunded, reversed, disputed, or charged-back payments may be excluded or removed from the Total Paid Amount.

Leaderboard positions may change at any time.

No specific ranking is guaranteed for any minimum period.

5. What You Are Buying

A payment purchases digital ranking placement according to the ranking rules described above.

A payment does not guarantee:

• any number of views, impressions, clicks, or interactions;
• followers, customers, sales, or other business results;
• a permanent ranking;
• or any minimum amount of time at a particular position.

Another Shout may move above yours after you pay.

A decrease in ranking does not mean the purchased ranking service was not provided.

6. Payments and Refunds

Payments are processed through our payment provider and may be subject to the provider's own terms and policies.

Prices, currency, taxes, and applicable fees will be shown before payment.

A payment affects ranking only after successful payment confirmation.

Because ranking placement is a digital service that begins after successful payment, payments are generally final once the service has begun, except where refunds are required by applicable law.

We do not normally provide refunds because:

• another Shout moves above yours;
• your ranking decreases;
• you receive fewer views or interactions than expected;
• you change your mind;
• or your Shout does not achieve the result you expected.

If a payment is refunded, reversed, disputed, or charged back, the corresponding amount may be removed from the Shout's Total Paid Amount and rankings may be recalculated.

If a technical problem caused by Shout Out! prevents a successfully paid Shout from receiving the purchased ranking service, contact us at support@shoutout.party.

7. X Mentions

Shouts may include public X usernames using the @username format.

Recognized mentions may link to the corresponding public X profile.

A mention does not verify identity, authorship, sponsorship, endorsement, affiliation, or approval by the account owner.

You may not use mentions deceptively or impersonate another person or organization.

X is a third-party service and is not affiliated with Shout Out!.

8. Content Rules and Moderation

You must comply with our Rules.

We may use automated moderation systems, including third-party AI services, to review submitted content.

We may reject, restrict, hide, or remove content that we reasonably believe:

• violates our Rules or these Terms;
• violates applicable law;
• infringes another person's rights;
• involves fraud, abuse, threats, harassment, scams, doxxing, or deceptive impersonation;
• creates material safety or security risk;
• or violates payment-provider requirements.

Paying for a Shout does not give you an unconditional right to keep prohibited content published.

9. No Endorsement

Shouts are user-generated content.

A Shout appearing on the leaderboard, including at the #1 position, does not mean that Shout Out! verifies, agrees with, approves, recommends, sponsors, or endorses it.

We do not generally verify factual claims made in Shouts.

10. Service Availability

We may modify, suspend, or discontinue parts of the Service, including ranking rules, minimum payment amounts, content limits, moderation systems, or supported payment providers.

We do not guarantee uninterrupted or error-free operation.

11. Disclaimer and Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.

We do not guarantee traffic, engagement, business results, ranking duration, or the accuracy of user-generated content.

To the extent liability can lawfully be limited, our aggregate liability arising from a specific paid transaction will not exceed the amount paid for that transaction.

Nothing in these Terms limits rights or liabilities that cannot lawfully be excluded or limited.

12. Changes to These Terms

We may update these Terms as the Service, our providers, or applicable legal requirements change.

The latest version will be posted on this page with the updated effective date.
